TERMS OF SERVICE
These Terms of Service (“Terms”) govern your access to and use of Production Assist AI (the “Service”), operated by Production Assist AI, Inc., a Delaware corporation (“Company,” “we,” “us,” or “our”).
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
Acceptance of Terms
By creating an account, accessing, or using the Service, you agree to these Terms, our Privacy Policy, and any additional policies referenced herein.
These Terms apply to all users, including visitors, registered users, production collaborators, and enterprise clients.
Eligibility
You must be at least 18 years old and legally capable of entering into binding agreements.
If you are using the Service on behalf of a company, production entity, or organization, you represent that you have authority to bind that entity to these Terms.
Account Registration and Security
You agree to provide accurate, current, and complete information when creating an account.
You are responsible for:
• Maintaining the confidentiality of your credentials
• All activity occurring under your account
• Ensuring authorized use within your organization
You must notify us immediately of any unauthorized access or suspected security breach.
Description of the Service
Production Assist AI is a production operating system designed to support budgeting, contracting, onboarding, team management, call sheet creation, AI-assisted workflow evaluation, and related production management functions.
We may modify, enhance, suspend, or discontinue features at any time.
Use of the Service
You agree not to:
• Use the Service for unlawful purposes
• Interfere with system integrity or security
• Attempt unauthorized access to systems or data
• Circumvent access controls or technical safeguards
• Use the Service to develop or support a competing product
We reserve the right to suspend or terminate accounts that violate these Terms.
Ownership of the Platform
The Service and all associated software, system architecture, workflow structures, data models, automation logic, AI orchestration systems, interface designs, documentation formats, and operational sequencing (collectively, the “Platform Technology”) are the exclusive property of Production Assist AI, Inc. and its licensors.
The Platform Technology is protected by copyright, trade secret, patent, and other intellectual property laws.
Nothing in these Terms transfers ownership of the Platform Technology to you.
Limited License
Subject to compliance with these Terms, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Service for legitimate production management purposes.
This license does not include rights to:
• Copy or reproduce system architecture
• Extract or replicate workflow logic
• Reverse engineer software components
• Recreate internal data structures
• Benchmark for competitive development
• Access source code
All rights not expressly granted are reserved.
System Replication and Reverse Engineering
You may not:
• Reverse engineer, decompile, or disassemble the Service
• Replicate operational structures or workflow sequencing
• Reconstruct platform logic outside the Service
• Scrape, extract, or analyze functionality for replication
• Use outputs to infer proprietary architecture
The structure, sequencing, data relationships, and operational design of the Service constitute proprietary trade secrets.
Unauthorized replication may result in immediate termination and legal action.
User Content
You retain ownership of materials you upload, including contracts, budgets, call sheets, onboarding documents, and related production materials (“User Content”).
You grant the Company a limited, non-exclusive license to host, process, store, transmit, and display User Content solely to operate and improve the Service.
We do not claim ownership of your production materials.
However, platform formatting systems, dynamic configurations, automation logic, and structural organization remain Company property.
AI Functionality
The Service includes AI-assisted tools designed to evaluate production data, suggest workflow improvements, flag conflicts, and assist execution planning.
AI outputs are dependent on available inputs and system logic.
You may not use AI outputs to reverse engineer platform architecture or proprietary workflows.
Workspaces and Data Separation
The Service operates through structured workspaces (including personal, company, and production environments) designed to preserve data boundaries and prevent unintended data transfer.
Transfers of templates, documents, or structured materials occur only through explicit actions within the Service.
The Company is not responsible for user-directed transfers.
Payment and Subscriptions
Certain features require paid subscriptions.
Fees are billed in advance and are non-refundable unless required by law.
We may modify pricing with advance notice.
Failure to pay may result in suspension or termination of access.
Termination
We may suspend or terminate access at our discretion for:
• Violations of these Terms
• Fraudulent or abusive behavior
• Risk to platform security
• Non-payment
Upon termination, your license to use the Service ends immediately.
Disclaimer of Warranties
The Service is provided “as is” and “as available.”
We make no warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.
We do not guarantee uninterrupted or error-free operation.
Limitation of Liability
To the fullest extent permitted by law, Production Assist AI, Inc. shall not be liable for indirect, incidental, consequential, special, or punitive damages arising from use of the Service.
Our total liability shall not exceed the amount paid by you to the Company in the twelve (12) months preceding the claim.
Indemnification
You agree to indemnify and hold harmless Production Assist AI, Inc., its officers, directors, employees, and affiliates from claims arising from:
• Your use of the Service
• Your violation of these Terms
• Your User Content
• Your misuse of platform functionality
Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to conflict of laws principles.
Any dispute shall be resolved exclusively in state or federal courts located in Delaware.
You agree that unauthorized use of Platform Technology may cause irreparable harm and that the Company may seek injunctive relief in addition to other remedies.
Changes to Terms
We may update these Terms at any time.
The “Last Updated” date will reflect revisions.
Continued use of the Service after updates constitutes acceptance.
